Asset Management Agency initiates selection of manager for seized asset

The Asset Management Agency (ARMA) has published a competition to determine a manager for a 49% stake in the three-star Marriott Medical Centre hotel located in Truskavets. The nominal value of this asset exceeds 5.8 million hryvnia. The stake is owned by Russian businessman Alexander Vartanyan, regarding whom law enforcement agencies have raised a number of questions.

History of seizure and owner's links to occupied Crimea

Courts ruled to seize Vartanyan's stake back in August 2023. According to the investigation results, the businessman had commercial activity in Crimea. Moreover, since 2016, his hotel facilities have housed Russian armed formations. Additionally, a criminal case was registered against him concerning the financing of actions aimed at overthrowing the constitutional order in Ukraine.

14-month gap between seizure and start of competition

It is worth noting that more than 14 months have passed between the seizure of the asset and the announcement of the competition. During this period, the hotel, which has 30 rooms, a medical centre and a restaurant, continued to operate in normal mode. Meanwhile, 51% of the company's shares remained in the ownership of other co-owners. Such a lengthy procedure has sparked discussion regarding the efficiency of state agencies' actions.

Ownership structure and potential impact on management

A key aspect of the situation is the size of the stake put up for competition. 49% does not ensure full operational control over the facility, but it allows blocking important corporate decisions that require 75% of votes to be adopted. The remaining 51% belongs to three individuals: Oksana Androshchuk, Lesia Konobi and Svitlana Voloshyna.

Thus, the future manager will not receive full ownership of the hotel, but a stake that may have a significant impact on its further fate. For an independent investor, this implies a complex negotiation process with current co-owners. Conversely, for individuals already involved in the business, such a structure potentially opens up broader opportunities.

Questions about the transparency of the competitive process

It remains unclear whether the competition will truly be open, or whether a structure close to the current co-owners will ultimately become the manager. Currently, this is only a supposition, but ARMA has grounds to prove that the procedure will not turn into a formality with a predetermined result.
